Chapter IV. Organizational Structure and the Procedure of Election and Changing of the Leadership
Article 16:The General Assembly is the paramount organ of power and authority of SZAID. The authority of the General Assembly includes:
1. To formulate and amend The Constitution of SZAID;
2. To elect and change the council members;
3. To review mandatory reports and financial statements;
4. To decide termination to relevant commitment;
5. To make decision of other related vital and important matters.
Article 17:The General Assembly can be only convened with attendance at least 2/3 of all the representatives. With at least half of participating representatives’ voting for support can make the resolutions become effective.
Article 18:Each assembly’s term of the General Assembly shall last five years. In case there are special occasions to change duration, it shall be passed through in the General Assembly and report to the relevant authority for approval. Nevertheless, the duration for one deferment shall not exceed one calendar year.
Article 19:The council of SZAID is the executing body of the General Assembly. The council shall take over the General Assembly to exercise its power and be responsible to the General Assembly.
Article 20:The authority of the council of SZAID includes:
1. To execute the resolutions of the General Assembly;
2. To elect and change the chairman and vice chairman of the council of SZAID and the secretary general;
3. To prepare the conferences of the General Assembly;
4. To submit and deliver working reports and financial statements to the General Assembly;
5. To make work plans, hear and review annual report;
6. To make decisions on enrollment and dismissal of members;
7. To decide to establish branches, representative offices and affiliated bodies of SZAID;
8. To recruit deputy secretary general and chiefs of departments;
9. To give guidance to the operation of all the departments of SZAID;
10. To formulate internal working procedure;
11. To make decisions on vital and important issues.
Article 21:With at least 2/3 attendance of representatives of the members of the council shall legally convene meetings.
Article 22:Resolutions shall become effective only with 2/3 votes in the council.
Article 23:The council convenes a meeting at least once a year, and runs the meetings by means of mail or email only on special occasions.
Article 24:At SZAID, there is an executive council accounting for a third or less than the total of council members.  The executive members are to be elected by the council members and perform duties during the closing period of the council meetings about Points 1, 3, 5, 6, 7, 8, 9 of Article 20.
Article 25: With 2/3 or more attendance of representatives of the members of the executive council shall legally convene meetings; resolutions shall become effective with 2/3 or more votes in the executive council.
Article 26: The executive council convenes a meeting at least once every half a year, and runs the meetings by means of mail or email only on special occasions.
Article 27:The qualifications of the chairman and vice chairman, secretary general of SZAID includes:
1. Persisting in the Party’s policies, guidelines;
2. Having considerable influence in the interior design community;
3. Under the age of 70, and full-time position for secretary general;
4. Healthy and competent for the work;
5. No criminal records;
6. Having adequate ability for civil affairs.
Article 28:In case the chairman, vice chairman or secretary general shall be older than 70, they are not supposed to continue to hold the office unless the voting is done by the council members and proper approval is obtained from relevant government authority .
Article 29: The chairman, vice-chairman and secretary general’s term of SZAID shall last five years but can be re-elected for another term. In case of need of term extension, it shall be passed through in the General Meeting and report to the relevant authority for approval.
Article 30: The secretary general is the legal person representative of SZAID and signs documents of importance. The secretary general must not hold any concurrent post of legal person representative for other organizations.
Article 31: The chairman’s authority includes:
1. To call and preside over meetings of the council and executive council,
2. To monitor progress of the implementation of the resolutions made by the General Assembly, the council and the executive council.
Article 32:The authority of secretary general includes:
1. To take charge of routine work, to implement annual work plan;
2. To coordinate with SZAID’s branches, representative offices and affiliated bodies;
3. To nominate candidates for the position of deputy secretary generals and chiefs for the branches, representative offices and affiliated bodies;
4. To recruit staff members for the branches, representative offices and entity organizations;
5. To deal with other routine work.
Article 33: A council member may be dismissed and be replaced by a standby council member in one of the following cases:
1. Loss of membership;
2. Submission of written resignation and approval by the council meeting;
3. Dismissal by the resolution of the General Assembly due to considerable misconduct;
4. Recall or dismissal.
